Terms of Service

Last updated: 10 October 2026

These Terms govern your engagement of KU Automation (a trading name of SwiftModa Ltd, United Kingdom) for engineering automation, AI consulting, independent technical review, custom software development, or related services. By engaging us (via signed proposal, purchase order, email confirmation, or payment), you accept these Terms.

1. Services

KU Automation delivers: independent technical review (JT studies, phase-envelope modelling, concept proposal review, pre-FEED analysis); custom engineering automation (bespoke workflows, data pipelines, report generators, calculation engines); software integration (AI/API integration with existing engineering platforms); and CAD-integrated package design. Specific scope is defined per engagement in writing.

2. Chartered Engineer oversight

All engineering deliverables are supervised by a Chartered Engineer (CEng MIMechE) registered with the UK Engineering Council. Methodology, assumptions, and recommendations are prepared and reviewed to professional engineering standards.

3. Your responsibilities

4. Deliverables and intellectual property

5. Fees and payment

6. Acceptable use

You agree not to use our services to violate applicable laws, infringe third-party intellectual property, misrepresent our deliverables to regulators or clients, or engage in activities that would damage KU Automation's professional reputation or engineering licence standing.

7. Confidentiality

Each party agrees to protect the other's confidential information with the same care it uses for its own, and not to disclose it to third parties without consent. Confidentiality obligations survive termination of the engagement for 5 years. Mutual NDAs are available on request.

8. Third-party services

We rely on third-party services (Vercel for hosting, Google Workspace for communications, Anthropic/OpenAI for AI processing where you authorise it, open-source libraries including CoolProp, DWSim, FreeCAD, Python, Node.js). Outages or policy changes by these providers may affect delivery timelines. We are not liable for third-party failures outside our reasonable control.

9. Warranties and disclaimers

Services are provided with the professional care and skill expected of a Chartered Engineer. Deliverables are prepared on the basis of information you provide; we do not warrant accuracy of inputs you supply us with. Deliverables intended for construction, procurement, or regulatory submission are provided as engineering input, not as a substitute for your own engineering judgement and independent verification. Simulation-grade deliverables (e.g. CoolProp or DWSim calculations) are stated to appropriate accuracy for their intended stage (scoping, concept, pre-FEED, detailed design) and are not warranted beyond that stated accuracy.

10. Limitation of liability

To the maximum extent permitted by law, KU Automation's total aggregate liability under any engagement shall not exceed the fees paid by you in the 12 months preceding the claim, or GBP 50,000, whichever is lower. We are not liable for indirect, incidental, consequential, loss-of-profit, loss-of-business, or loss-of-data damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud. Where appropriate, project-specific indemnity caps may be negotiated.

11. Termination

Either party may terminate an engagement with reasonable written notice (default: 30 days). Fees for work completed up to termination remain payable. We will deliver work-in-progress on reasonable terms on termination.

12. Governing law

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless the project is executed in a specific jurisdiction with different mandatory requirements, in which case local law applies to project-specific matters only.

13. Changes

We may update these Terms. Material changes will be notified at least 14 days in advance for active engagements. Continued engagement after changes take effect means acceptance.
